Domain Name Registration Agreement

1. GENERAL
This Domain Name Registration Agreement ("Agreement") is between D3 Registrar Limited ("D3 Registrar") and the person or entity who submits an application for domain name registration or renewal ("You"). This Agreement explains our obligations to You, and Your obligations to us in relation to domain name registration services. By submitting an application for domain name registration or renewal, You agree to be bound by this Agreement.
All domain names registered through use of the Services are subject to (i) this Agreement, (ii) our General Terms and Conditions, (iii) the rules and regulations of the respective registry operator (the “Registry”) for the applicable TLD (collectively, the “Registry Policies”), and any other contractual obligations between the registrant and the registrar, where the registrar is not D3. You, as the registrant, are advised to review all additional terms and conditions associated with the respective registry to ensure full understanding of such terms.
This Agreement may change from time to time. If you disagree with any modification, your exclusive remedy is to transfer your domain name registration to another registrar or cancel your domain name registration. Your continued use of the Services after a modification indicates acceptance of those changes. Revised terms will be effective within 30 days of posting or 15 days after you receive notice via email. You acknowledge and agree that D3 may modify this Agreement in order to comply with any terms and conditions set forth by (i) ICANN and/or (ii) the Registry in question.
2. SERVICES
2.1 Our Services
D3 is an Internet Corporation for Assigned Names and Numbers (“ICANN”) accredited registrar, offering domain registration in TLDs such as .com, .net, .org, .etc. Registrations are not effective until confirmed by the relevant Registry administrator. We are not liable for errors by the registry administrator or issues related to the registration process.
2.2 Refusal of Services
You agree that D3, in its sole discretion and without liability to you, may refuse to accept the registration of any domain name. D3 also may in its sole discretion and without liability to you delete the registration of any domain name during the first thirty (30) days after registration has taken place.
In the event D3 refuses a registration or deletes an existing registration during the first thirty (30) days after registration, you will receive a refund of any fees paid to D3 in connection with the registration either being cancelled or refused. In the event D3 deletes the registration of a domain name being used in association with spam or morally objectionable activities, no refund will be issued.
2.3 Exclusions from Services
D3 does not verify whether a domain name or its usage infringes on the legal rights of others. It is your responsibility to ensure that the domain name you select does not infringe upon the rights of others. You may be subject to legal action if your domain name usage violates any laws.
2.4 Ownership
You acknowledge and agree that registration of a domain name does not create any proprietary right for you, the registrar, or any other person in the name used as a domain name or the domain name registration and that the entry of a domain name in the Registry shall not be construed as evidence or ownership of the domain name registered as a domain name. You shall not in any way transfer or purport to transfer a proprietary right in any domain name registration or grant or purport to grant as security or in any other manner encumber or purport to encumber a domain name registration.
2.5 Third-Party Beneficiary
Notwithstanding anything in this Agreement to the contrary, the Registry for any TLD in which you register a domain name is and shall be an intended third-party beneficiary of this Agreement. As such the parties to this Agreement acknowledge and agree that the third-party beneficiary rights of the Registry have vested and that the Registry has relied on its third-party beneficiary rights under this Agreement in agreeing to D3 being a registrar for the TLD. Third party beneficiary rights of the Registry shall survive any termination of this Agreement.
3. YOUR OBLIGATIONS; SUSPENSION OF SERVICES; BREACH OF AGREEMENT
You represent and warrant to the best of your knowledge and belief that neither the registration of the domain nor the manner in which it is directly or indirectly used infringes upon the legal rights of any third party. You agree to comply with all applicable laws, including but not limited to those related to privacy, data collection, consumer protection, fair lending, debt collection, financial disclosures and securities regulations. If you collect and maintain sensitive health or financial data, you must implement reasonable and appropriate security measures that are consistent with the applicable laws governing such data. You further represent that you possess all necessary authorization, licenses, charters, and other credentials required for participation in the sector associated with the relevant TLD. You agree to notify D3 promptly of any material changes to the validity of such authorization, licenses, charters, or credentials.
- Your use of the services provided by D3 may be cancelled or suspended in the event of an unresolved breach of this Agreement, or if such action is required by any policy currently in effect or adopted in the future by ICANN or any relevant registry authority.
- Your domain name registration may be subject to suspension, cancellation, or transfer in accordance with any ICANN-adopted specification or policy, or D3's procedures that are consistent with any such ICANN specification or policy, including but not limited to (a) correcting mistakes made by D3 or the registry operator in the domain name registration, or (b) resolving disputes concerning the domain name.
You understand and agree that D3 and the Registry reserve the right, at their sole discretion, to deny, cancel, transfer, or place any domain name(s) on lock, hold, or similar status as deemed necessary, for reasons including, but not limited to:
- To comply with specifications adopted by any authoritative Internet industry group (e.g., RFCs);
- To protect the integrity and stability of the domain name registry or registrar, and to correct mistakes made by D3 or the Registry;
- For non-payment of fees to the Registry;
- To protect the integrity and stability of the Registry or TLD;
- To comply with applicable court orders, laws, government rules or requirements, requests from law enforcement, or any dispute resolution process;
- To comply with applicable ICANN rules or regulations, including, without limitation, the Registry agreement;
- To avoid any liability, civil or criminal, for the registry operator or its affiliates, subsidiaries, officers, directors, and employees;
- As required under the terms of this Agreement;
- In response to the occurrence of any prohibited activity as described in Section 8 of this Agreement; or
- During the resolution of any domain name-related dispute.
You agree that if you fail to fully comply with the terms and conditions of this Agreement, or any D3 policy or rule, such failure may be considered a material breach of this Agreement. In such case, D3 may issue notice of the breach to you, either in writing or electronically (e.g., via email). If you do not provide sufficient evidence within ten (10) business days showing that you have not breached your obligations, D3 may terminate its relationship with you and take remedial actions as permitted under applicable laws. Such remedial actions may include, but are not limited to, canceling the registration of any of your domain names and discontinuing any services provided by D3. No fees will be refunded if your services are canceled or terminated due to a breach of this Agreement.
Failure by D3 to act upon or notify you of any breach of this Agreement does not relieve you of responsibility for such breach, nor does it excuse you from the consequences of such a breach.
4. YOUR ACCOUNT AND INFORMATION
4.1 Your Account
You must create an account to use the Services. You are responsible for maintaining your login credentials and ensuring that no unauthorized person gains access to your account. You agree to safeguard your login credentials to prevent unauthorized access. You acknowledge that anyone with access to your login details can modify your account. We will take reasonable precautions to protect your data from loss, misuse, unauthorized access, or alteration, but we are not liable if these precautions fail.
4.2 Your Obligation to Provide and Maintain Accurate Information
In consideration for your use of the Services, you agree to provide and maintain accurate and current information regarding your account and your domain name(s)' WHOIS information. This includes the administrative, technical, and billing contact details such as name, postal address, email address, phone number, and, where available, fax number. Failure to provide accurate information may result in the suspension or termination of your registration or Services. You must also provide the nameservers for your domain name(s), or we may assign nameservers and point your domain to a website of our choosing until you supply your nameserver information.
You further represent that the registration of the domain name or acquisition of the Services is not for any unlawful purpose. You acknowledge that failure to provide accurate or updated information will constitute a material breach of this Agreement and may result in suspension or termination of your Services. Furthermore, failure to respond within ten (10) calendar days to inquiries regarding the accuracy of your account or WHOIS information will be considered a material breach, leading to suspension or termination of Services.
To modify your account or domain name WHOIS information, you must access your account with us.
5. FEES AND PAYMENT TERMS
5.1 Fees
You agree to pay any and all prices and fees due for Services purchased or obtained at the time you order the Services. D3 expressly reserves the right to change or modify its prices and fees at any time, and such changes or modifications shall be posted online at this Site and effective immediately without need for further notice to you. If you have purchased or obtained Services for a period of months or years, changes or modifications in prices and fees shall be effective when the Services in question come up for renewal as further described herein.
5.2 Refunds
Fees for domain name registrations, renewals, and other Services are non-refundable, including if a domain name is suspended, canceled, or transferred before the end of the registration term, unless otherwise stated in this Agreement.
6. DOMAIN REGISTRATIONS, RENEWALS AND TRANSFERS
6.1 Registration Requirements
For any domain name registrations, including for any TLD that requires you meet eligibility or other authentication requirements as a condition to registering a domain name in the TLD, you represent and warrant that by submitting an application or registering or renewing your domain name that: (a) all information provided to register or renew the domain name (including all supporting documents, if any) is true, complete and correct, and is not misleading in any way, and the application is made in good faith; (b) you meet, and will continue to meet the eligibility criteria prescribed in the Registry Policies for the applicable TLD for the duration of the domain name registration; (c) you have not previously submitted an application for the domain name with another registrar using the same eligibility criteria, and the other registrar has rejected the application (if applicable); (d) even if the domain name is accepted for registration, your entitlement to register the domain name may be challenged by others who claim to have an entitlement to the domain name; and (e) the Registry or the registrar can cancel the registration of the domain name if any of the warranties required are found to be untrue, incomplete, incorrect or misleading.
6.2 Expiration and Renewal; Automatic Renewal as Default
Automatic Renewal. Automatic Renewal is the default setting. Domain names will automatically renew for a period equivalent to the length of your original domain name registration and payment will be taken from the payment method you have on file, at D3's then current rates. Thus, if you have chosen to register your domain name for one (1) year, D3 will automatically renew it for one (1) year. If you have chosen to register your domain name for two (2) years, D3 will automatically renew it for two (2) years, and so on. If you wish to change your automatic renewal term to a different period from your original term, you may manually renew the domain registration to establish a new default automatic renewal term for the domain.
Manual Renewal. If you have elected to turn off automatic renewal and cancel registration effective at expiration of the then current term, you may nonetheless elect to manually renew the domain name at any time prior to its expiration date by logging into your Account and manually implementing the renewal or by contacting D3's customer service. If you fail to manually implement the renewal before the expiration date, the domain name will expire, and you will no longer have use of that name.
All renewals will be subject to the terms of this Agreement, as it may be amended from time to time, and you acknowledge and agree to be bound by the terms of this Agreement (as amended) for all renewed domains. Domain name renewals will be non-refundable. In the event D3 is unable to automatically renew your domain name for the renewal option selected for any reason, we may automatically renew your domain name for a period less than your original registration period to the extent necessary for the transaction to succeed. If for any reason D3 is not able to take the payment from the payment method you have on file, and you fail to respond to our notices, your domain name registration will expire. It is your responsibility to keep your payment method information current, which includes the expiration date if you are using a credit card.
You agree that D3 will not be responsible for expired domain names that you fail to renew in the timeframes indicated in this Agreement. In any case, if you fail to renew your domain name in a timely fashion, additional charges may apply. If you signed up for any related services that D3 offers that are attached to the domain name registration, these services will also be automatically renewed when your domain name registration is up for renewal, and you will incur the applicable additional renewal fee unless you cancel in advance.
For approximately 45 days after the expiration of your domain registration, you may renew the registration through a reactivation process. You acknowledge that delays in renewing may result in the loss of the domain name. If a Redemption Grace Period (RGP) is available, it typically lasts between 30 to 42 days after the reactivation period ends. The RGP is subject to a fee, in addition to any registration fees, and is subject to change.
6.3 Transfers
Domain name transfers are governed by ICANN's transfer policy, which can be found at www.icann.org/en/resources/registrars/transfers. We may apply a “Registrar Lock” to prevent the transfer of your domain name without your authorization. If you wish to transfer your domain name, you must log into your account to unlock the domain and obtain the necessary EPP "AuthCode" or contact us to unlock your domain and provide the AuthCode. Transfers may not occur within 60 days of initial registration, within 60 days of a transfer, during a dispute regarding ownership, if you are bankrupt, or if fees are unpaid. Transfer requests typically take five business days to process. We recommend initiating the transfer well in advance of the expiration date to avoid potential complications.
7. DOMAIN NAME REGISTRATION CONTACT DATA; SHARING AND PUBLICATION
You agree that for each domain name registered by you, the following contact data is required: Postal address, email address, telephone number, and if available, a facsimile number for the Registered Name Holder and, if different from the Registered Name Holder, the same contact information for, a technical contact, an administrative contact and a billing contact. You consent to the disclosure of your domain name registration information to ICANN, the Registry, and other third parties as required by applicable laws. This may include public access to some or all your registration information through WHOIS lookup systems. You also acknowledge that ICANN may update its policies regarding WHOIS information disclosure.
You agree that if you intend to license use of a domain name to a third party, you are nonetheless the Registered Name Holder of record and are responsible for providing your full contact information and updating accurate technical and administrative contact information adequate to facilitate timely resolution of any problems that arise in connection with the Registered Name. A Registered Name Holder licensing use of a Registered Name according to this provision shall accept liability for harm caused by wrongful use of the Registered Name, unless it disclosers the current contact information provided by the licensee and the identity of the licensee within seven (7) days to a party providing the Registered Name Holder reasonable evidence of actionable harm.
You acknowledge and agree that domain name registration requires that your contact information, in whole or in part, be shared with the Registry for their use, copying, distribution, publication, modification and other processing for the purpose of administration of the domain name registration, which may require such information be transferred back and forth across international borders, to and from the U.S. to the EU, for example. As required by ICANN or for certain TLDs this information may also be made publicly available by the Registry via WHOIS or its successor protocol (collectively referred to as the “WHOIS" Directory) that is beyond, and not subject to, D3's control.
Both D3 and the Registry may be required to archive this information with a third-party escrow service. You hereby consent and give permission for all such requirements and disclosures. Further, you represent and warrant that, if you are providing information about a third party, you have notified the third party of the disclosure and the purpose for the disclosure and you have obtained the third party's consent to such disclosure. D3 will not process data in a way that is incompatible with this Agreement. D3 will take reasonable precautions to protect data from loss or misuse, unauthorized access or disclosure, alteration, or destruction.
You agree that for each domain name registered by you the following information could be made publicly available in the WHOIS Directory as determined by ICANN or Registry Policies, and may be sold in bulk as set forth in the ICANN agreement:
- The domain name;
- Your name and postal address;
- The name, email address, postal address, voice and fax numbers for technical and administrative contacts;
- The Internet protocol numbers for the primary and secondary name servers;
- The corresponding names of the name servers; and
- The original date of registration and expiration date,
- Name of primary name server and secondary name server,
- Identity of the registrar.
You agree that, to the extent permitted by ICANN, D3 may make use of the publicly available information you provided during the registration process. If you engage in the reselling of domain names you agree to provide any individuals whose personal information you've obtained, information about the possible uses of their personal information pursuant to ICANN policy. You also agree to obtain consent, and evidence of consent, from those individuals for such use of the personal information they provide.
You agree that D3 has the right to make public and share with third parties certain information in connection with the sale or purchase of domain names on the website, including but not limited to (a) the name of the domain name sold or purchased, (b) the sale or purchase price of the domain name sold or purchased, and (c) information relating to the timing of the sale or purchase.
8. REGISTRANT RIGHTS AND RESPONSIBILITIES
Under ICANN's Registrar Accreditation Agreement (RAA), Registrants should be aware of their rights and responsibilities, which can be found here.
9. DISPUTE RESOLUTION
You agree to be bound by the Uniform Domain Name Dispute Resolution Policy (“UDRP”), which may be modified by ICANN at any time. In the event of a domain name dispute, you will be subject to the provisions of the UDRP and must indemnify D3 for any claims related to such disputes. Your domain name registration may be subject to suspension, cancellation, or transfer in accordance with ICANN policies or registrar procedures, including the resolution of disputes.
You agree that if a dispute arises as a result of one or more domain names you have registered using D3, you will indemnify, defend and hold D3 harmless as provided for in this Agreement. You also agree that if D3 is notified that a complaint has been filed with a governmental, administrative or judicial body, regarding a domain name registered by you using D3, that D3, in its sole discretion, may take whatever action D3 deems necessary regarding further modification, assignment of and/or control of the domain name deemed necessary to comply with the actions or requirements of the governmental, administrative or judicial body until such time as the dispute is settled. In this event you agree to hold D3 harmless for any action taken by D3.
10. INDEMNITY
With respect to ICANN, any Registry, D3, as well as the contractors, agents, employees, officers, directors, shareholders, and affiliates of such parties, you agree to release, indemnify, and hold harmless these parties from all liabilities, claims, and expenses, including attorney's fees and court costs, arising out of or relating to third-party claims concerning or resulting from this Agreement, the Service(s) provided under it, or your use of the Service(s). This includes, without limitation, claims of infringement of any intellectual property or proprietary right by you or anyone else using the Service(s) we provide to you, or any violation of our operating rules or policies regarding the Service(s) provided.
In the event we are involved in a legal dispute related to this Agreement and the Service(s) provided to you, we may request written assurances from you, in which you agree to indemnify and hold us harmless from the resulting costs and liabilities. These assurances may include, at our sole discretion, the posting of performance bond(s) or other guarantees reasonably calculated to secure payment. Should you fail to provide these assurances, we may treat such failure as a material breach of this Agreement, which could result in the loss of your rights to manage or control domain name services for which you are the registrant and which we maintain as the registrar of record.
This indemnification is in addition to any indemnification obligations under the UDRP.
11. REPRESENTATIONS AND WARRANTIES
You represent and warrant to the best of your knowledge and belief that neither the registration of a domain name nor the manner in which it is used, directly or indirectly, nor the use of any other Service(s) provided under this Agreement infringes upon the legal rights of any third party. Furthermore, you represent and warrant that all information provided by you in connection with the procurement of the Service(s) is true, accurate, and complete.
You acknowledge that all Service(s) are provided "as is" and with all faults. Except for our statement regarding our accreditation as an ICANN-approved domain name registrar, we make no representations or warranties of any kind, express or implied, concerning this Agreement or the Service(s), including but not limited to implied warranties of merchantability or fitness for a particular purpose, unless such warranties are not legally excludable. Specifically, we do not warrant that the registration or use of a domain name under this Agreement will protect you from challenges to your domain name registration, or from the suspension, cancellation, or transfer of the domain name registered to you.
You understand and agree that any material and/or data downloaded or otherwise obtained through the use of our email forwarding or other email services is done at your own risk. You will be solely responsible for any damage to your computer system or loss of data that results from the downloading of such material or data.
We make no warranty regarding any goods or services purchased or obtained through our email service(s) or any transactions entered into through our email service(s). No oral or written advice or information obtained from us shall create any warranty not expressly made in this Agreement. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. NOTICES
You agree that any notices required to be given under this Agreement by us to you shall be deemed to have been duly delivered if sent by email or postal mail to the account and/or domain name WHOIS information you have provided. It is your responsibility to ensure that your contact information remains accurate and up to date in order to receive timely notifications from us.
13. INTELLECTUAL PROPERTY
You acknowledge that, during the term of this Agreement and upon its expiration or termination, you have no right to assert or claim ownership of any intellectual property rights belonging to D3, including but not limited to the registration or attempt to register any trademarks or other intellectual property associated with D3 (or any confusingly similar variations thereof). D3 retains at all times the sole and exclusive right, title, and ownership of all intellectual property associated with its brand, services, and operations.
14. OWNERSHIP OF INFORMATION AND DATA
You acknowledge that we own all rights, title, and interest in the domain name database, including derivative works generated from it. We maintain ownership of the registration details (such as contact information and registration dates), but we do not own your personal registration data, which remains your property.
15. AGENTS AND LICENSES
If you are registering a domain name on behalf of a third party, you represent that you have the authority to bind that party to this Agreement. If you license the use of your domain name to a third party, you remain the registrant of record and are responsible for all obligations, including payment and providing accurate contact information.
16. POST-EXPIRATION OF DOMAIN NAME REGISTRATION; REDIRECTS AND PARKING
After the expiration of your domain registration term, we may redirect your domain name to nameservers and IP addresses designated by us, which may include advertising or a parking page.
17. MISCELLANEOUS
Nothing in this Agreement shall be construed as creating an agency, partnership, or joint venture between the parties. Failure by D3 to require performance of any provision of this Agreement shall not affect our right to demand such performance in the future. The waiver by D3 of any breach of any provision of this Agreement shall not be deemed to waive the provision itself. If any provision of this Agreement is held to be unenforceable or invalid under applicable law or court decision, such unenforceability or invalidity will not render the remainder of the Agreement unenforceable or invalid. We may amend or replace any such provision with a valid and enforceable one that achieves, to the extent possible, our original objectives as reflected in the unenforceable or invalid provision. This Agreement may only be amended or modified by a written document executed by both you and an authorized representative of D3.
